Why hasn’t Donkey Kong 64 crept onto Nintendo’s Virtual Console? Most of us aren’t wrenching our bed sheets late at night in haunting thought, but at least one Rare fan is curious as to why the modern classic hasn’t cropped up on the digital distribution service. When asked by this fan in a recent Scribes mailbag, the developer responded simply: they haven’t the slightest idea.
“I have no idea why DK64 hasn't shown up yet, and whether Jetpac would still be in there or they'd replace it with Mario's Cement Factory (which ate about three years of my life as a child) or something,” the representative said. “Or maybe a single-screen 2D shooty version of Jet Race would be more appropriate. Who knows? Not us, obviously, or we wouldn't be sitting here pitching clueless alternatives.”
As Kotaku notes, this may or may not have something to do with Microsoft’s ownership of Rare. On a similar note, if true, this is like the reverse of the situation Rare experienced with the oft rumored re-release of Golden Eye 007. There were too many hands in the pot to make that happen, we believe.

Hyperbole aside, there are a LOT of great N64 games that should be on VC (whether or not DK64 is one of them is debatable).
If RARE aren't sure why DK64 (or any of their games) aren't on VC, they are clearly more stupid than we give them credit for.

Nah...I'll just stick with Donkey Kong Country 1 & 2. DK64 was just a worse Banjo Kazooie with multiplayer.

That would make sense, if it weren't for the fact that the entire Donkey Kong Country series is on Virtual Console.
I really liked the game too. Yeah, it's a long, glorified fetch-quest, but it's a damn fun one regardless, and the multiplayer mode was great as well, if I remember correctly. DKC64 was one of the first games I remember playing, and it still holds a special part of my childhood.
There's a special edition? Are you talking about the yellow cartridge version?
Anyway, Microsoft owning Rare has absolutely nothing to do with this. Nintendo has all rights to anything Donkey Kong related. The only thing that could be a bit iffy is the inclusion of Rare's Jetpac game as a necessary side-mission, and even then, they could easily replace that with another game, I'd think.
Even as a huge fan the Countries, I still thought it was fucking great.

The only things I would buy are Rare shooters and I'd rather have them on PSN/XBLA.

Nope, you're just one of the few individuals here who didn't grow up on the NES or SNES. It's okay to love a Megaman remake BECAUSE GREAT NOSTALGIA! but not for those of us who grew up on the N64 and PS, where Ocarina of Time reigned over A Link to the Past and Final Fantasy 7 blew FF6 out of the water. Nostalgia's NOT okay there and those games have to be held to the highest standards in order to compete, which of course means that a remake/re-release of any of those games means a big fat F from a Destructoid editor/user, with a brief complaint as to why 2D visuals are better than 3D visuals,and, subsequently, a complaint about how the N64 generation was, 'ALL ABOUT THE GRAPHIX HURR!" (which, of course, seems a little hypocritical to those of us with SAT verbal scores above 400).
I'll actually admit that I thought Chrono Trigger was one of the best RPGs I've ever played (since I'm not a biased hack/elitist), but I'll be damned if I ever see an SNES/NES sheep celebrate anything past the 'golden' era of their 'time'.
Super Metroid was pretty awesome too.
